Meridian Platform Terms of Service

Terms governing access to and use of the Meridian Platform and all related services provided by Meridian S.A.

Welcome to Meridian S.A. ("Meridian", "Company", "we", "our", or "us").

These Meridian Platform Terms of Service ("Terms") govern your access to and use of the Meridian Platform and all related services provided by Meridian S.A.

The Platform may be made available through one or more official interfaces, including but not limited to:

  • the Meridian Website
  • Telegram Bot
  • mobile applications
  • web applications
  • APIs
  • merchant interfaces
  • business portals
  • software integrations
  • or any other official communication channel operated by Meridian

These Terms apply regardless of the interface through which the Services are accessed.

By creating an Account, accessing the Platform, or using any Service, you acknowledge that you have read, understood and agree to be legally bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

1. About Meridian

Meridian S.A. is a corporation duly incorporated under the laws of the Republic of Panama.

Meridian develops and operates technology infrastructure for digital assets and financial technology solutions.

Depending on availability and applicable law, the Platform may provide:

  • custodial digital asset accounts
  • blockchain infrastructure
  • digital asset transfers
  • payment functionality
  • merchant services
  • wallet management tools
  • APIs
  • compliance tools
  • blockchain integrations
  • reporting tools
  • treasury functionality
  • digital asset custody
  • and additional products introduced from time to time

Meridian continuously develops new products and features.

Accordingly, references to the "Services" include both existing and future services made available through the Platform.

2. Nature of the Services

Meridian is a technology company.

Unless expressly stated otherwise, Meridian does not operate as:

  • a bank
  • a deposit-taking institution
  • an investment adviser
  • a securities broker
  • a trust company
  • a fiduciary
  • a money market fund
  • or any licensed financial institution solely by virtue of providing the Services

Nothing contained on the Platform constitutes:

  • investment advice
  • legal advice
  • tax advice
  • accounting advice
  • financial advice
  • brokerage services
  • or recommendations to purchase or dispose of any Digital Asset

Users remain solely responsible for their own financial decisions.

3. Definitions

For purposes of these Terms:

  • Account means a registered Meridian account.
  • Digital Assets means cryptocurrencies, stablecoins, blockchain-based tokens and other supported digital assets.
  • Platform means the Meridian ecosystem including all software, websites, APIs, Telegram interfaces, applications and infrastructure.
  • Services means every service provided by Meridian.
  • User, "you" and "your" refer to any person or legal entity using the Platform.
  • Transaction means any deposit, withdrawal, transfer, exchange, conversion or blockchain operation initiated through the Platform.
  • Custody Services means digital asset safeguarding performed by Meridian.
  • Business Day means any day on which Meridian normally conducts business.
  • Applicable Law means any law, regulation, governmental order or legally binding requirement applicable to Meridian or the User.

4. Acceptance of these Terms

By accessing or using the Platform you represent and warrant that:

  • you have legal capacity to enter into these Terms
  • all information provided by you is accurate
  • you will maintain accurate information
  • you will comply with Applicable Law
  • you accept these Terms in their entirety

If acting on behalf of a legal entity, you represent that you possess authority to bind that entity.

5. Eligibility

You may use the Services only if:

  • you are at least eighteen (18) years old or have reached the age of legal majority in your jurisdiction
  • your use is lawful
  • you are not prohibited by Applicable Law
  • you are not acting for a sanctioned person
  • you are not using the Platform on behalf of a prohibited organization

Meridian may refuse Services in any jurisdiction where doing so is reasonably necessary for legal, regulatory or operational reasons.

Availability of the Platform does not constitute a representation that the Services are licensed in every jurisdiction.

6. Meridian Platform

The Platform provides infrastructure for managing supported Digital Assets.

Features may include:

  • digital asset accounts
  • custody
  • internal transfers
  • blockchain withdrawals
  • blockchain deposits
  • merchant functionality
  • payment services
  • APIs
  • compliance tools
  • reporting
  • business accounts
  • and future products introduced by Meridian

Not every Service will be available in every jurisdiction.

Meridian may introduce, modify, suspend or discontinue Services at any time where reasonably necessary.

7. Digital Asset Accounts

Users may establish one or more Digital Asset Accounts through the Platform.

A Digital Asset Account may permit:

  • receipt of supported Digital Assets
  • custody
  • transfers
  • transaction history
  • reporting
  • supported payment functionality
  • additional Platform features

Meridian determines which Digital Assets are supported. Support may change without notice.

Digital Asset Accounts are not bank accounts. They do not constitute deposits and are not insured by any governmental deposit insurance scheme.

8. Account Registration

To access certain Services Users must create an Account.

Registration may require:

  • full legal name
  • date of birth
  • nationality
  • residential address
  • email address
  • telephone number
  • government-issued identification
  • tax residency information
  • source of funds information
  • source of wealth information where appropriate
  • additional information requested for compliance purposes

Users agree to maintain accurate information. Meridian may reject any registration request.

9. Identity Verification (KYC)

Meridian operates a risk-based compliance program.

Users may be required to complete:

  • identity verification
  • customer due diligence
  • enhanced due diligence
  • sanctions screening
  • politically exposed person screening
  • blockchain analytics
  • wallet ownership verification
  • source of funds verification
  • ongoing monitoring

Verification requirements depend upon:

  • jurisdiction
  • transaction volume
  • transaction frequency
  • blockchain risk
  • regulatory obligations
  • internal risk assessment

Meridian may request additional documentation at any time.

Failure to complete verification may result in restrictions, suspension or termination.

Completion of verification does not guarantee continued access to every Service.

11. Custody Services

Meridian provides custodial infrastructure for supported Digital Assets.

By using the Custody Services, you authorize Meridian to securely generate, manage, store, and administer cryptographic credentials and related security mechanisms necessary to facilitate the Services.

Meridian may use one or more security technologies, including but not limited to:

  • Hardware Security Modules (HSM)
  • Multi-Party Computation (MPC)
  • Multi-Signature Wallets
  • encrypted key storage
  • geographically distributed infrastructure
  • disaster recovery systems
  • cold storage
  • hot wallet infrastructure
  • transaction authorization controls
  • continuous security monitoring

Security measures may evolve over time without prior notice.

Users acknowledge that private keys used within the Custody Services remain under the operational control of Meridian solely for the purpose of providing the Services.

Nothing in these Terms transfers ownership of Digital Assets to Meridian.

12. Digital Asset Ownership

Except as otherwise required by Applicable Law, all Digital Assets credited to a User's Digital Asset Account remain beneficially owned by that User.

Meridian acts solely as a custodian and technology service provider.

Digital Assets held for Users are not intended to become operational assets of Meridian.

Meridian shall not pledge, lend, rehypothecate, or otherwise use User Digital Assets for its own benefit unless expressly authorized by the User or required by Applicable Law.

Meridian may temporarily restrict access to Digital Assets where necessary to:

  • comply with Applicable Law
  • respond to lawful governmental requests
  • comply with sanctions obligations
  • investigate fraud
  • prevent unauthorized activity
  • protect Platform security

13. Supported Digital Assets

Meridian determines, in its sole discretion, which Digital Assets are supported.

The list of supported Digital Assets may be modified at any time.

Meridian does not guarantee that any Digital Asset will remain supported indefinitely.

Users are solely responsible for verifying:

  • supported assets
  • supported blockchain networks
  • supported token standards
  • compatibility of wallet addresses

Transfers involving unsupported assets or unsupported blockchain networks may result in permanent loss.

Meridian is not obligated to recover unsupported Digital Assets. Where technically possible, Meridian may attempt recovery. Additional service fees may apply.

14. Deposits

Users may deposit supported Digital Assets into their Digital Asset Accounts.

Deposits become available only after receiving the minimum number of blockchain confirmations determined by Meridian. Confirmation requirements may change without prior notice.

Meridian may reject or delay crediting deposits where reasonably necessary to:

  • conduct compliance reviews
  • investigate suspicious activity
  • verify blockchain integrity
  • address technical issues
  • comply with Applicable Law

Users are solely responsible for ensuring that deposit instructions are followed correctly.

Meridian is not responsible for losses resulting from:

  • incorrect wallet addresses
  • unsupported networks
  • incorrect destination tags
  • incorrect memos
  • user error

15. Withdrawals

Withdrawal requests are subject to:

  • security verification
  • compliance review
  • operational controls
  • blockchain availability

Prior to processing a withdrawal, Meridian may require:

  • multi-factor authentication
  • transaction confirmation
  • wallet ownership verification
  • identity verification
  • enhanced due diligence
  • additional security procedures

Meridian may refuse, delay, suspend, or cancel withdrawals where reasonably necessary to:

  • comply with Applicable Law
  • prevent fraud
  • protect Users
  • respond to cybersecurity incidents
  • satisfy sanctions requirements
  • investigate suspicious activity

Blockchain network fees are determined by the relevant blockchain protocol. Such fees are outside Meridian's control.

16. Blockchain Confirmations

Meridian establishes minimum confirmation requirements for each supported blockchain.

Digital Assets shall not be considered available until the required confirmations have been received.

Confirmation thresholds may change without notice where necessary to address:

  • blockchain security
  • network congestion
  • protocol upgrades
  • risk management
  • operational requirements

Meridian shall not be liable for delays resulting from blockchain confirmation requirements.

17. Forks, Token Migrations and Protocol Events

Blockchain protocols may undergo:

  • hard forks
  • soft forks
  • token migrations
  • chain splits
  • network upgrades
  • governance changes
  • rebasing events
  • redenominations
  • protocol migrations

Meridian has sole discretion to determine whether to support any such event.

Unless expressly announced otherwise, Meridian has no obligation to:

  • recognize forked assets
  • distribute forked tokens
  • support migrated tokens
  • participate in governance
  • recognize rebasing events
  • support newly created blockchain networks

Operational decisions relating to protocol events shall be final.

18. Stablecoins

Meridian may support certain stablecoins.

Meridian makes no representation regarding:

  • issuer solvency
  • reserve sufficiency
  • redemption rights
  • continued market acceptance
  • regulatory treatment
  • price stability

Users acknowledge that stablecoins may lose value or cease operations. Meridian may suspend support for any stablecoin at any time.

19. Fees

Users agree to pay all applicable fees relating to the Services.

Current fees are published separately in the Meridian Fees Policy.

Fees may include:

  • custody fees
  • withdrawal fees
  • blockchain network fees
  • account service fees
  • conversion fees
  • merchant fees
  • premium feature fees

Meridian may revise fees from time to time. Material fee changes shall be published before becoming effective where reasonably practicable.

Blockchain network fees are separate from Meridian service fees.

20. Compliance

Meridian operates a comprehensive compliance program designed to prevent:

  • money laundering
  • terrorist financing
  • sanctions violations
  • fraud
  • financial crime
  • market abuse
  • cybercrime

Meridian may perform:

  • sanctions screening
  • blockchain analytics
  • transaction monitoring
  • wallet risk assessment
  • source of funds verification
  • source of wealth verification
  • ongoing customer monitoring
  • enhanced due diligence

Meridian may use third-party compliance providers to assist in fulfilling these obligations.

Users agree to cooperate fully with compliance requests. Failure to cooperate may result in suspension, restriction, or termination of the Account.

Meridian may report suspicious activity to competent authorities where required or permitted by Applicable Law.

21. Regulatory Cooperation

Meridian may cooperate with:

  • courts
  • law enforcement agencies
  • regulators
  • financial intelligence units
  • sanctions authorities
  • tax authorities
  • governmental agencies
  • self-regulatory organizations

Such cooperation may include:

  • production of records
  • disclosure of information
  • preservation of evidence
  • freezing Digital Assets
  • restricting Transactions
  • implementing lawful governmental requests

Meridian shall not be liable for actions taken in good faith to comply with Applicable Law.

22. Security and Safeguarding

Meridian is committed to maintaining a secure and resilient platform for Digital Assets.

The Company implements administrative, technical, and organizational safeguards designed to protect the confidentiality, integrity, and availability of the Services.

Security measures may include:

  • Hardware Security Modules (HSM)
  • Multi-Party Computation (MPC)
  • encrypted infrastructure
  • cold and hot wallet segregation
  • role-based access controls
  • multi-factor authentication
  • transaction monitoring
  • network security controls
  • infrastructure redundancy
  • disaster recovery procedures
  • business continuity planning
  • penetration testing
  • security audits
  • continuous monitoring

Security controls may change without prior notice where reasonably necessary to improve Platform security.

Although Meridian applies commercially reasonable safeguards, no security system is completely immune from compromise.

Accordingly, Meridian does not guarantee that unauthorized access, cyberattacks, malware, software vulnerabilities, blockchain exploits, insider misconduct, or other unforeseen events will never occur.

23. User Security Responsibilities

Users are solely responsible for protecting:

  • their devices
  • passwords
  • authentication methods
  • recovery information
  • registered email addresses
  • Telegram accounts
  • mobile numbers
  • API credentials
  • access tokens

Users shall immediately notify Meridian if they suspect:

  • unauthorized Account access
  • compromised credentials
  • phishing attempts
  • malware infection
  • SIM swapping
  • unauthorized Transactions
  • loss or theft of a device

Meridian may require additional verification before taking action regarding security-related requests.

Failure to maintain appropriate security may result in permanent loss of Digital Assets.

24. Artificial Intelligence and Automated Systems

Meridian may use automated technologies to improve the security, compliance, reliability, and operation of the Platform.

Such technologies may include:

  • artificial intelligence
  • machine learning
  • blockchain analytics
  • fraud detection systems
  • transaction monitoring
  • behavioral analysis
  • anomaly detection
  • automated compliance tools
  • sanctions screening
  • risk scoring models

Automated systems may assist Meridian in identifying suspicious activity, security threats, operational risks, or potential violations of these Terms.

Final decisions affecting Users may involve human review where appropriate.

Meridian does not guarantee that automated systems will detect every fraudulent or unauthorized activity.

25. Prohibited Activities

Users shall not use the Platform for any unlawful, fraudulent, abusive, or prohibited purpose.

Without limitation, Users shall not:

  • engage in money laundering
  • finance terrorism
  • evade sanctions
  • facilitate fraud
  • conduct phishing
  • distribute malware
  • engage in ransomware activity
  • operate darknet marketplaces
  • exploit children
  • engage in human trafficking
  • use stolen payment instruments
  • submit false identification documents
  • impersonate another person
  • circumvent Platform security
  • interfere with Platform operations
  • reverse engineer Platform software
  • perform unauthorized penetration testing
  • abuse APIs
  • introduce malicious code
  • manipulate markets
  • conduct insider trading involving Digital Assets
  • facilitate criminal activity
  • violate Applicable Law

Meridian reserves the right to investigate suspected violations.

26. Monitoring and Investigations

Meridian may monitor use of the Platform to:

  • protect Users
  • prevent fraud
  • detect cybersecurity threats
  • satisfy legal obligations
  • enforce these Terms
  • maintain Platform integrity

Where reasonably necessary Meridian may:

  • suspend Transactions
  • request additional documentation
  • conduct internal investigations
  • preserve evidence
  • cooperate with competent authorities

Meridian is not obligated to disclose internal compliance methodologies or fraud detection procedures.

27. Third-Party Services

The Platform may integrate with independent third-party providers.

Such providers may include:

  • blockchain infrastructure providers
  • cloud hosting providers
  • identity verification providers
  • compliance providers
  • payment processors
  • blockchain analytics providers
  • telecommunications providers
  • messaging platforms
  • software vendors

Meridian does not control third-party systems. Interruptions affecting third-party providers may affect Platform availability.

Users may also be subject to separate terms published by those providers.

28. Service Availability

Meridian seeks to provide continuous access to the Platform. However, uninterrupted availability cannot be guaranteed.

The Platform may become unavailable due to:

  • scheduled maintenance
  • emergency maintenance
  • software upgrades
  • blockchain failures
  • validator failures
  • protocol upgrades
  • internet outages
  • cloud provider failures
  • denial-of-service attacks
  • governmental restrictions
  • force majeure events

Meridian may temporarily suspend any Service to protect Platform security or stability.

Where reasonably practicable, planned maintenance will be communicated in advance.

29. Beta Features

Meridian may offer experimental or preview functionality.

Beta Services are provided "as available" and may contain:

  • software defects
  • incomplete functionality
  • interruptions
  • instability
  • performance limitations

Meridian may modify or discontinue Beta Services at any time. Users participate in Beta Services entirely at their own risk.

30. Suspension of Services

Meridian may suspend, restrict, delay, or limit access to any Service where reasonably necessary.

Reasons may include:

  • security concerns
  • fraud prevention
  • compliance requirements
  • sanctions obligations
  • suspicious activity
  • inaccurate User information
  • failure to complete verification
  • legal requirements
  • operational risks
  • cybersecurity incidents

Suspension may affect:

  • individual Transactions
  • Digital Assets
  • specific Services
  • Accounts
  • entire jurisdictions

Where permitted by Applicable Law, Meridian is not required to disclose detailed reasons for compliance-related decisions.

31. Termination

Users may close their Account at any time, subject to:

  • completion of outstanding obligations
  • successful withdrawal of supported Digital Assets
  • compliance with Applicable Law

Meridian may terminate an Account where reasonably necessary to protect:

  • Users
  • Platform security
  • regulatory compliance
  • business operations
  • legal interests

Termination does not affect rights or obligations that arose before termination.

32. Dormant Accounts

Meridian may designate an Account as dormant after an extended period of inactivity.

Where appropriate Meridian may:

  • contact the User
  • request updated verification
  • temporarily restrict certain functionality
  • require reactivation procedures

Digital Assets shall not become the property of Meridian solely because an Account is inactive.

Any action relating to dormant assets shall be taken only where required by Applicable Law or a lawful order of a competent authority.

33. Records

Meridian maintains operational and compliance records relating to:

  • Accounts
  • Transactions
  • communications
  • authentication events
  • compliance reviews
  • security events
  • audit logs

Records may be retained for the period required by Applicable Law or Meridian's internal compliance policies.

Meridian's records shall be presumed accurate unless demonstrated otherwise by clear and convincing evidence.

34. Electronic Communications

Users consent to receive communications electronically.

Meridian may communicate through:

  • Website notices
  • email
  • Telegram Bot
  • mobile applications
  • APIs
  • in-platform notifications
  • other official communication channels

Electronic communications satisfy any legal requirement that communications be in writing where permitted by Applicable Law.

35. Intellectual Property

The Platform, including its software, source code, object code, APIs, databases, interfaces, designs, trademarks, logos, documentation, text, graphics, visual elements, and all related intellectual property, are owned by or licensed to Meridian.

Nothing contained within the Platform transfers ownership of any intellectual property rights to any User.

Except where expressly permitted by Applicable Law or these Terms, Users may not reproduce, distribute, modify, create derivative works, reverse engineer, decompile, scrape, copy, sublicense, commercially exploit, interfere with, or misuse any part of the Platform without Meridian's prior written consent.

Unauthorized use may result in civil or criminal liability.

36. Feedback

If a User provides Meridian with suggestions, ideas, feature requests, improvements, comments, bug reports, technical feedback, or business recommendations, the User grants Meridian a worldwide, perpetual, irrevocable, royalty-free, transferable license to use such feedback for any lawful business purpose without compensation.

Users represent that providing such feedback does not infringe any third-party rights.

37. Taxes

Users are solely responsible for determining, reporting, and paying any taxes arising from:

  • ownership of Digital Assets
  • transfers
  • exchanges
  • conversions
  • rewards
  • staking income (if supported)
  • merchant payments
  • any other taxable event

Meridian does not provide tax advice. Users should seek independent professional advice regarding their tax obligations.

Where required by Applicable Law, Meridian may collect tax-related information and provide reports to competent governmental authorities.

38. No Financial Advice

Meridian does not provide:

  • investment advice
  • portfolio management
  • brokerage services
  • securities recommendations
  • legal advice
  • accounting advice
  • tax advice

Nothing available through the Platform constitutes a recommendation to buy, sell, hold, transfer, exchange, or otherwise transact in any Digital Asset.

Users remain solely responsible for their own financial decisions.

39. Limitation of Liability

To the fullest extent permitted by Applicable Law, Meridian shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages.

This includes, without limitation:

  • loss of profits
  • loss of business opportunities
  • loss of anticipated savings
  • loss of goodwill
  • loss of reputation
  • loss of revenue
  • loss of data
  • loss resulting from Digital Asset price volatility

Meridian shall not be liable for losses resulting from:

  • blockchain failures
  • validator failures
  • protocol upgrades
  • forks
  • smart contract vulnerabilities
  • third-party failures
  • cloud infrastructure outages
  • internet failures
  • telecommunications interruptions
  • phishing attacks
  • malware
  • SIM swapping
  • compromised User credentials
  • stolen devices
  • User negligence
  • governmental actions
  • sanctions
  • force majeure

Nothing contained in these Terms excludes liability that cannot lawfully be excluded.

40. Indemnification

Users agree to indemnify, defend, and hold harmless Meridian, its shareholders, directors, officers, employees, contractors, affiliates, service providers, and agents from and against any claims, liabilities, damages, judgments, losses, costs, penalties, and reasonable legal expenses arising out of or relating to:

  • use of the Platform
  • breach of these Terms
  • violation of Applicable Law
  • infringement of third-party rights
  • fraudulent activity
  • misuse of the Platform

This obligation survives termination of these Terms.

41. Force Majeure

Meridian shall not be liable for delays or failures caused by circumstances beyond its reasonable control.

Such circumstances include, without limitation:

  • natural disasters
  • earthquakes
  • floods
  • fires
  • war
  • terrorism
  • civil unrest
  • pandemics
  • governmental actions
  • sanctions
  • internet failures
  • telecommunications outages
  • power failures
  • cyberattacks
  • blockchain failures
  • validator failures
  • protocol upgrades
  • failures of cloud providers
  • failures of third-party infrastructure

Meridian will use commercially reasonable efforts to restore the Services as soon as practicable.

42. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Panama.

Nothing contained in these Terms limits Meridian's obligation to comply with mandatory legal requirements applicable in other jurisdictions where required by Applicable Law.

43. Dispute Resolution

The parties shall first attempt to resolve disputes through good-faith negotiations.

Users are encouraged to contact Meridian Support before initiating formal proceedings.

Where a dispute cannot be resolved amicably, it shall be submitted to the competent courts of the Republic of Panama unless mandatory law provides otherwise.

Meridian reserves the right to seek interim, injunctive, or equitable relief in any court of competent jurisdiction where necessary to protect:

  • Digital Assets
  • confidential information
  • intellectual property
  • Platform security
  • legal rights

44. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Invalid provisions shall, where possible, be interpreted to reflect the original commercial intent while remaining enforceable.

45. No Waiver

Failure by Meridian to enforce any provision of these Terms shall not constitute a waiver of any right.

Any waiver shall be effective only if made in writing by an authorized representative of Meridian.

46. Survival

The following provisions survive termination of these Terms:

  • Compliance
  • AML & Sanctions
  • Taxes
  • Records
  • Intellectual Property
  • Limitation of Liability
  • Indemnification
  • Dispute Resolution
  • Governing Law
  • Confidentiality obligations
  • Regulatory Cooperation
  • Any provision which by its nature is intended to survive termination

47. Language

These Terms may be translated into languages other than English.

In the event of any inconsistency or conflict between translations, the English version shall prevail to the fullest extent permitted by Applicable Law.

These Terms, together with the following legal documents published by Meridian:

  • AML & Compliance Policy
  • KYC Policy
  • Custody Policy
  • Cookie Policy
  • Fees Policy
  • Risk Disclosure
  • Prohibited Use Policy
  • Legal Requests Policy
  • Complaints Policy

constitute the entire agreement between Meridian and the User concerning the Platform.

These documents supersede all prior communications, understandings, and agreements relating to the Services.

49. Changes to these Terms

Meridian may update these Terms from time to time to reflect:

  • changes in Applicable Law
  • regulatory requirements
  • new Services
  • technological developments
  • security enhancements
  • operational changes

Updated versions become effective upon publication unless a later effective date is specified.

Where required by Applicable Law, Meridian will provide reasonable notice of material amendments.

Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

Legal notices, regulatory requests, and compliance inquiries should be directed to the designated contact details published on the Website.

These Meridian Platform Terms of Service are effective from the date stated above and remain in force until amended or replaced by Meridian S.A.
